Terms of Service

These Terms of Service ("Terms") govern access to and use of Goodstand (the "Service"), operated by XBUILDERAI LTD ("we", "us", "our"). By creating an account, using the Service, or purchasing a plan, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Goodstand provides compliance infrastructure for founders and firms: registry monitoring, deadline alerts, document storage, filing preparation and submission assistance, and related workflow tools for US LLCs and, where applicable, UK entities. Features vary by plan. We may add, change, or discontinue features with reasonable notice where practicable.

You must be at least 18 years old and able to enter a binding contract. You represent that information you provide is accurate and that you have authority to bind any entity you register on the platform. One person may manage multiple entities under a single account where the product allows it.

Paid plans renew automatically at the interval shown at checkout unless cancelled before the renewal date. State registry fees, IRS fees, registered agent charges, and similar pass-through costs are billed separately or at cost as described on your plan. You may cancel from your dashboard; access continues through the end of the current billing period. We do not lock you into long-term contracts unless explicitly stated on a custom enterprise agreement.

When you request a filing through the Service, you authorize us to prepare and submit documents on your behalf using information you supply. You are responsible for reviewing prepared documents before submission where the product provides a review step. Government processing times, rejections, and penalties caused by inaccurate information you provide are your responsibility. We will use reasonable efforts to notify you of rejections and assist with resubmission where included in your plan.

Goodstand is not a law firm, registered agent, or accounting firm. Nothing on the Service constitutes legal, tax, or financial advice. Content, alerts, and AI-assisted responses are for informational and operational purposes only. We will tell you plainly when a matter requires a licensed attorney or CPA. You may not reverse engineer the Service, scrape it in ways that impair performance, upload malware, attempt unauthorized access, or use the Service to harass others. We may suspend or terminate accounts that violate these rules or pose risk to other users or to our infrastructure.

We own the Service, software, branding, and documentation. You retain ownership of documents and data you upload. You grant us a limited license to host, process, and display your content solely to provide the Service. You may export your data at any time from the product where export is available.

We treat your entity documents and account information as confidential and do not sell or share them for advertising. Our handling of personal data is described in the Privacy Policy and GDPR notice.

To the fullest extent permitted by law, neither XBUILDERAI LTD nor its officers, employees, or contractors shall be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising from your use of the Service. Our aggregate liability for any claim relating to the Service is limited to the fees you paid us in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

You agree to indemnify and hold harmless XBUILDERAI LTD from claims arising out of your misuse of the Service, inaccurate information you provide, or violation of these Terms or applicable law.

Either party may terminate the relationship as described in your plan terms. Upon termination, we will retain data only as required by law or as stated in our Privacy Policy. You may request export of your documents before closure where the product supports it.

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Courts in England and Wales shall have exclusive jurisdiction, except where mandatory consumer protection laws in your country of residence require otherwise.

We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use after changes take effect constitutes acceptance. If you disagree with a change, cancel your account before the effective date.
